MARMARA METAL REFINERY ETHICAL PRINCIPLES

Marmara’s heritage in precious metals began with the workshop founded by Mahmoud Sultan in 1995 and has developed over nearly four decades through craftsmanship, precious-metals trading and international bullion activities. Today, Marmara Metal Refinery carries this experience into a new industrial chapter while preserving the values that have shaped the business from the beginning.

As a family-founded company operating within an industry where trust, transparency and responsibility are fundamental, Marmara Metal Refinery is committed to conducting its activities according to high ethical and professional standards. Integrity, reliability, respect, responsibility, sustainability and transparency form the foundation of the way we conduct business and engage with our employees, customers, suppliers, counterparties and communities.

Our commitment extends beyond commercial performance. We seek to create sustainable value while respecting applicable laws, human rights, the environment and the integrity of the international precious-metals supply chain. These principles apply throughout our operations and establish the standards of conduct we expect from those representing or working with Marmara Metal Refinery.

A. Business Ethics

At Marmara Metal Refinery, business ethics are founded on integrity, fairness, professionalism, accountability, confidentiality and respect.

We believe that sustainable business relationships can only be built when all parties act responsibly and transparently. Every employee and representative of Marmara Metal Refinery is expected to perform their responsibilities professionally, comply with applicable laws and internal policies, protect confidential information and avoid conduct that could compromise the integrity or reputation of the company.

We apply these principles equally in our relationships with clients, suppliers, financial institutions, service providers and other stakeholders.

B. Honesty

Honesty is fundamental to every relationship and every transaction at Marmara Metal Refinery.

We are committed to communicating truthfully, presenting information accurately and conducting our activities without deception, manipulation or deliberate concealment of material facts.

Our employees and representatives are expected to honor their commitments, maintain accurate records and act transparently in their professional responsibilities. Decisions must be based on legitimate business considerations and must never be influenced by improper personal interests.

Integrity strengthens trust between individuals, institutions and markets. For this reason, Marmara Metal Refinery expects the same standard of honesty from every stakeholder with whom it conducts business.

C. Objectivity

Marmara Metal Refinery expects all professional decisions to be made objectively, independently and fairly.

Employees and representatives must exercise professional judgment without allowing personal interests, external pressure, favoritism or inappropriate influence to affect their decisions.

Actual or potential conflicts of interest must be disclosed and appropriately managed. Commercial decisions, laboratory procedures, product assessments, supplier evaluations and other operational activities must be conducted according to relevant facts, established procedures and professional standards.

Objectivity is particularly important within the precious-metals industry, where accuracy, independent judgment and transparency are essential to maintaining confidence throughout the supply chain.

D. Reliability

Reliability means fulfilling our responsibilities consistently and standing behind the commitments we make.

Marmara Metal Refinery seeks to build long-term relationships with employees, customers, suppliers and business partners through dependable performance, accurate communication and professional conduct.

Employees are expected to provide information based on reliable sources, maintain accurate documentation and accept responsibility for the decisions and actions within their authority.

From the receipt and evaluation of precious metals to refining, production, documentation and delivery, we aim to maintain disciplined processes that support traceability, accuracy and accountability.

Our reputation depends not only on what we promise, but on our ability to deliver those commitments consistently.

E. Respect

Marmara Metal Refinery is committed to maintaining a workplace and business environment founded on mutual respect, dignity and equal treatment.

We respect differences in nationality, culture, language, gender, belief and background and do not tolerate discrimination, harassment, intimidation or degrading treatment.

We recognize internationally accepted principles relating to human rights and expect our employees, suppliers and business partners to conduct themselves responsibly throughout the precious-metals supply chain.

Respect also extends to the environment. Marmara Metal Refinery seeks to use natural resources responsibly, improve energy and water efficiency, minimize waste and environmental impact, and integrate responsible practices into its refining and production processes.

Respect for people and respect for our planet are inseparable from sustainable industrial development.

F. Loyalty

Professional loyalty is built through sincere commitment, mutual trust and responsible conduct.

Employees of Marmara Metal Refinery are expected to protect the legitimate interests of the company while performing their duties honestly, accurately and professionally. Confidential commercial information, customer information, pricing, technical processes, transaction records and other sensitive information must be protected from unauthorized disclosure or misuse.

At the same time, loyalty must never be interpreted as an obligation to conceal misconduct or unethical behavior. Every individual has a responsibility to raise concerns when actions may violate the law, company policies or these Ethical Principles.

Customer satisfaction remains a key priority. We seek to understand the needs of our customers, deliver products and services according to agreed standards and respond to requests professionally, fairly and efficiently.

Our responsibilities also extend to the communities and markets in which we operate. Through responsible business practices and long-term engagement, we aim to contribute positively to economic and social development.

G. Efficiency

Efficiency at Marmara Metal Refinery means achieving high standards of quality while making responsible use of materials, energy, technology, time and human resources.

The responsible use of resources, prevention of unnecessary waste, optimization of precious-metal recovery and continuous improvement of processes are fundamental to our operating philosophy.

Efficiency must never compromise quality, safety, environmental responsibility or ethical standards. Instead, we seek to combine technological capability with disciplined management and responsible production to create greater value from the resources entrusted to us.

Continuous improvement, cooperation and innovation enable Marmara Metal Refinery to strengthen its performance while contributing to a more efficient and sustainable precious-metals industry.

Responsible Sourcing and Compliance

Given the nature of the precious-metals industry, Marmara Metal Refinery places particular importance on responsible sourcing, transparency and regulatory compliance.

We are committed to maintaining appropriate due-diligence processes and to conducting our activities in accordance with applicable anti-money laundering (AML), know-your-customer (KYC), sanctions and responsible-sourcing requirements.

We seek to work with reputable counterparties and expect suppliers and business partners to provide accurate information regarding the origin and ownership of materials where required. Marmara Metal Refinery does not knowingly support transactions connected with unlawful activity, corruption, serious human-rights abuses or illicit sources of precious metals.

Reporting Ethical Concerns

Marmara Metal Refinery encourages employees, customers, suppliers and other stakeholders to report concerns regarding suspected unethical conduct, regulatory violations, conflicts of interest or breaches of these principles.

Reports made in good faith will be handled responsibly and with appropriate confidentiality. Retaliation against individuals who raise legitimate concerns in good faith is not acceptable.
